This Terms of Use ("Agreement") is a legal agreement between you, the individual user ("User"), and Conform Technologies (CT) ("Service Provider") for the CT MIS Consulting ("Service") and accompanying Conform Technologies services to which the Service is going to be used for. The Conform Technologies ("Website")includes any and all materials, printed or electronic, furnished together with or in conjunction with the CT MIS Consulting program and shall include all modifications and versions thereof. Any reference made in this Agreement to Conform Technologies shall be deemed to include, its subsidiaries, successors, assignees, affiliates and any company that controls Conform Technologies, directly or indirectly, and any other subsidiary of such controlling company.
In this Agreement, "you" and "your" refer to each User of the CT MIS Consulting Service. "We", "us" and "our" refer collectively to Conform Technologies and its service CT MIS Consulting http://conform-tech.com/onstart.aspx. The following Agreement explains our obligations to you, and your obligations to us in relation to the CT MIS Consulting service.
By using the Conform Technologies Website OR creating your personal account and making transactions via the Service, you confirm that (1) you are at least 18 years of age; and(2) you have read and understood this Agreement and agree to be bound by its terms and conditions.
Your use of the Conform Technologies Website shall be deemed your acceptance to be bound by all the terms and conditions of this Agreement. If you do not fully agree with all the terms stated in this Agreement, please refrain from using the Service or accessing and using the services included in the Website.
You hereby agree to the use of electronic communication in order to enter into contracts, place orders, and whenever applicable, to the electronic delivery of notices and policies relating to the CT MIS Consulting service. You also waive any rights or requirements under any laws or regulations in any jurisdiction, to the extent permitted under applicable mandatory law, which require an original (non-electronic) signature or delivery or retention of non-electronic records.
If you are a resident of a jurisdiction that restricts the use of Internet-based applications based on age or which restricts the ability to enter into agreements such as this Agreement according to age and You are under the age limit, You may not enter into this Agreement or use the CT MIS Consulting service.
The Service is an online holding facility for pre-purchased CT MIS Consulting credits that you can use to pay for Conform Technologies products and services available on the http://conform-tech.com ("Conform Technologies website") and other affiliate sites. To create a personal account in the Service, you must have a valid e-mail address and an optional PayPal account if you intend to make a subscription to any of our CT MIS Consulting service with credits via PayPal.
The Service may be accessed online by logging-in with an Email address and Password in the Conform Technologies portal.
User acknowledges and agrees that Conform Technologies may, at its sole discretion, at any time, without prior notice and without liability to any user or third party, limit, deny, create varying priorities or access to different users or different levels of service, update, modify or terminate, temporarily or permanently some or all of the functionality of the Conform Technologies Site and the CT MIS Consulting Services. User acknowledges and agrees to assume all risks relating to or arising out of such acts by Conform Technologies to the exclusion of Conform Technologies.
You agree that you will not allow unauthorized persons to use your account as identified by your Username and password. You agree to indemnify and hold Conform Technologies and the Service, its partners, parents, subsidiaries, agents, affiliates and/or licensors, as applicable, harmless for any improper, unauthorized or illegal uses of your account.
You may use the Service only in accordance with the terms and conditions of this Agreement and any amendments, as well as any additional terms that may be presented in connection with any particular feature or function of the Service from time to time.
No user can use the Service for any purpose that is unlawful or prohibited by this Terms of Use. Users may not use the Service to: (a) promote any unlawful or illegal activity or purpose, including any activity that could give rise to criminal or civil liability; (b) infringe on the copyright, patent, trademark, service mark or any other rights of any person or entity; (c) cause harm to minors in any manner; (d) transmit any material that is unlawful, illegal, obscene, vulgar, defamatory, harassing, threatening, libelous, objectionable racially or otherwise, or invasive of the privacy of another; (e) distribute or transmit any software viruses or other computer code designed to interfere with the functionality of any computer, hardware, software, server, network or other equipment or devices; (g) impersonate or misrepresent any person or entity or the ownership of a CT MIS subscription account; or (h) collect, store, transmit, exchange or otherwise distribute the personal information of any users of this Website or any other web site.
You may not attempt to gain unauthorized access to the CT MIS Consulting service, or computer systems or networks connected to any Conform Technologies service through data mining, hacking, robots or any other means. You shall not use the Website or the Service in any manner that could harm, immobilize, overload, or impair the Service or interfere with any other party's use and enjoyment of the Service.
Conform Technologies reserves the right, in its sole discretion, to terminate your access to the Website and the related services at any time, with or without cause and without notice.
You agree to maintain the confidentiality of your Email address and Password to access your CT MIS Consulting subscription account, and that you will be responsible and liable for all transactions conducted through your CT MIS account, including charges incurred.
You are solely responsible for ensuring that all information provided to facilitate transactions are accurate and correct. Any mistakes or errors due to negligence shall be solely for your own account and you shall hold the Service Provider free and harmless from any damage or liability arising from such mistake or error due to negligence.
You agree to notify the Service Provider, in writing, of any unauthorized or fraudulent use of your Email address, Password, and Account. You agree to indemnify the Service Provider against any and all liabilities arising out of, or relating to, the use of your Email address, Password, and Account. The Service Provider will not be liable for any damages resulting from the unauthorized or fraudulent use of your Email address, Password, and Account.
You will at all times provide the Service Provider, within reasonable time, any data or information necessary for the proper provisioning of the Service.
